- Abstract
- This study is carried out in order to investigate how organisational change has an impact on the organisational behaviour when going through a radical change as a merger. The research has been transmitted on the case of the British online luxury fashion retail company Net-a-Porter and their parent company Compagnie Francière Richemont SA, that on October 5th 2015 finalized a merger with the Italian rival company YOOX S.p.A. The deal made them the leading online luxury fashion retailer worldwide. A twist to the case is that ahead of the settlement of the merger, Net-a-Porters founder, executive chairperson and key person Natalie Massenet resigned from the company, which made this case interesting to investigate in terms of organisational behaviour and the leaders position in a change process. Three objectives were established in order to get a deeper understanding of the process on how organisational change has an impact on the behavioural aspect of the organisation. Primary and secondary research was collected. Findings demonstrate that in real life, organisational behaviour is taken less into count related to decision making on whether or not to merge. This is mainly due to the strategic, financial and business aspect of the M&A process. However, in order for the merger to grow successfully, organisational behaviour is highly recommended to focus on in the integration plan. Moreover the findings show that lack of consideration of organisational behaviour is contributing to higher risk of meeting issues for the business and can be harmful for the organisational culture. Recommendations are stated in order to help YNAP to improve the level of organisational behaviour in the process. With M&A being a way for a business to grow, it is necessary for managers to have knowledge about the process from an implementation point of view. As the process is comprehensive, employee engagement can be a reasonable investment for the management for the integration to be successful.
